Seller Agreement
1. Introduction
This Seller Agreement (“Agreement”) governs the onboarding, access, and use of the Enporto platform (“Platform”) by manufacturers and authorised suppliers (“Seller”, “you”, or “your”).
This Agreement is entered into between the Seller and ENPORTO Technologies Private Limited (“Enporto”, “Company”, “we”, “us”, or “our”).
This Agreement forms part of the broader Enporto legal framework together with:
- Terms of Service
- Privacy Policy
- Acceptable Use Policy
- Refund & Dispute Policy
- related Platform policies
By applying for onboarding, creating a Seller Account, listing products, or using Seller services on the Platform, you agree to this Agreement.
2. Seller Eligibility
2.1 Eligible Seller Types
Enporto currently permits onboarding of:
- manufacturers
- factory owners
- authorised suppliers
- authorised product owners
Enporto may reject onboarding applications from:
- resellers without manufacturing authorisation
- unauthorised trading entities
- shell entities
- prohibited businesses
- sanctioned persons or entities
2.2 Indian Business Requirement
Sellers must:
- operate legally in India
- possess valid business registrations
- possess GST registration where applicable
- possess Import Export Code (IEC) where required
- comply with Indian export regulations
2.3 Age and Authority
The individual accepting this Agreement must:
- be at least 18 years old
- possess authority to bind the Seller entity
3. Seller Verification and Onboarding
3.1 Verification Process
Sellers may be subject to verification procedures including:
- GST verification
- IEC verification
- PAN verification
- banking verification
- business registration checks
- video verification
- physical verification
- sanctions and compliance screening
3.2 Onboarding Fee
Enporto may charge a one-time onboarding and verification fee of INR 5,000 or such revised amount as notified by Enporto.
3.3 Refund on Rejection
Where a Seller application is rejected during verification, Enporto may provide a refund of the onboarding fee in accordance with Platform policies.
3.4 Right to Reject or Suspend
Enporto reserves the right to:
- reject onboarding applications
- suspend Seller Accounts
- request additional documentation
- remove Seller access
- restrict Platform functionality where necessary for compliance, operational integrity, fraud prevention, security, sanctions screening, or Platform protection
4. Seller Obligations
4.1 Product Responsibility
Sellers are solely responsible for:
- product authenticity
- product quality
- product safety
- manufacturing accuracy
- certifications
- warranties provided to Buyers
- packaging standards
- product compliance
4.2 Export Compliance
Sellers remain solely responsible for:
- customs compliance
- FEMA compliance
- export documentation
- sanctions compliance
- product legality
- DGFT compliance
- destination-country import requirements
- taxes and duties
4.3 Exporter of Record
The Seller remains the Exporter of Record for all shipments facilitated through the Platform unless expressly agreed otherwise in writing. The Seller is solely responsible for:
- shipping bills
- customs declarations
- export documentation
- IEC obligations
- regulatory declarations
- foreign exchange compliance
4.4 Documentation Accuracy
Sellers warrant that all uploaded information, certifications, declarations, invoices, and shipping documentation are:
- accurate
- lawful
- authentic
- non-misleading
5. Product Listings and Content
5.1 Manufacturer-Only Listings
Sellers may list only:
- products manufactured by them
- products for which they possess valid authorisation
5.2 Listing Accuracy
Sellers must ensure Listings accurately reflect:
- product specifications
- certifications
- images
- pricing
- MOQ
- production capability
- shipping timelines
5.3 Certifications and Claims
Sellers may upload:
- ISO certifications
- CE certifications
- FDA-related documentation
- lab reports
- organic certifications
- compliance certificates
- testing reports
Sellers are solely responsible for ensuring such documents are valid and lawful.
5.4 Intellectual Property
Sellers represent that their Listings and products do not infringe:
- trademarks
- copyrights
- patents
- design rights
- trade secrets
- other intellectual property rights
5.5 Platform Licence
By uploading Content, Sellers grant Enporto a worldwide, non-exclusive, royalty-free licence to:
- display Listings
- promote products
- market Seller brands
- feature products
- distribute listing materials for Platform operation, promotion, and marketplace visibility
6. Prohibited Conduct
Sellers shall not:
- list counterfeit products
- upload fake certifications
- manipulate trade documents
- solicit off-platform payments
- bypass Platform payment systems
- engage in fraudulent inquiries
- misrepresent manufacturing capabilities
- upload unlawful or misleading content
- violate export-control or sanctions laws
- list prohibited or restricted goods
Enporto may investigate suspected misconduct and take enforcement action without prior notice.
7. Orders, Samples, and Transactions
7.1 Sample Orders
The Platform may allow Sellers to enable or disable sample-order functionality. Sellers remain responsible for:
- sample quality
- sample shipment
- sample timelines
- sample-related representations
7.2 Order Acceptance
Sellers may accept or reject Buyer enquiries or purchase requests subject to Platform policies.
7.3 Dispatch Obligations
Sellers are responsible for:
- dispatch timelines
- shipment readiness
- packaging
- export documentation
- shipment coordination
7.4 Incoterms and Commercial Terms
Sellers are responsible for clearly specifying:
- applicable Incoterms
- pricing terms
- lead times
- payment terms
- shipping conditions
8. Payments, Commissions, and Escrow Workflows
8.1 Payment Processing
Payments may be facilitated through licensed third-party payment service providers integrated into the Platform. Enporto does not operate as a banking institution or direct escrow provider.
8.2 Platform Commissions
Enporto may charge:
- transaction commissions
- platform fees
- premium listing fees
- logistics coordination fees
- subscription fees
Applicable fee structures may be revised upon notice.
8.3 Payment Holds and Disputes
In the event of:
- disputes
- suspected fraud
- sanctions concerns
- compliance reviews
- chargebacks
- regulatory requirements
payments may be temporarily held through the relevant payment provider workflows.
8.4 Refunds
Refunds between Buyers and Sellers are handled in accordance with:
- Buyer-Seller agreements
- dispute outcomes
- applicable Platform policies
Enporto does not guarantee refunds or trade outcomes.
9. Logistics and Shipping
9.1 Logistics Integrations
The Platform may integrate with third-party logistics providers from time to time. Enporto acts solely as a technology and coordination platform unless expressly stated otherwise.
9.2 Seller Shipping Responsibilities
Sellers remain responsible for:
- shipment preparation
- export packaging
- customs documentation
- shipment legality
- shipment declarations
- compliance with applicable export regulations
9.3 Delays and Customs Issues
Enporto is not liable for:
- customs delays
- shipment seizures
- port congestion
- carrier delays
- export restrictions
- force majeure events
- destination-country regulatory actions
10. Returns, Disputes, and Buyer Claims
10.1 Dispute-Based Resolution
International B2B transactions conducted through the Platform are generally handled through dispute-resolution mechanisms rather than guaranteed returns.
10.2 Enporto Mediation Role
Enporto may facilitate:
- communication
- documentation review
- administrative coordination
- dispute workflows
Enporto does not act as:
- insurer
- guarantor
- arbitrator
- product certifier
10.3 Seller Cooperation
Sellers agree to reasonably cooperate in dispute investigations and provide requested documentation.
11. Seller Performance and Platform Visibility
11.1 Platform Visibility
Enporto may:
- promote Seller products
- feature Seller brands
- rank Listings
- recommend products
- prioritise visibility
- apply discovery algorithms
11.2 Performance Signals
Seller visibility may be influenced by:
- response rates
- shipment reliability
- dispute frequency
- compliance history
- Buyer feedback
- verification status
- operational performance
Enporto retains sole discretion regarding Platform discovery and visibility systems.
12. Suspension and Enforcement
12.1 Immediate Suspension Rights
Enporto may immediately suspend or restrict Seller Accounts where reasonably necessary for:
- fraud prevention
- sanctions concerns
- export violations
- fake certifications
- counterfeit goods
- cybersecurity concerns
- suspicious activity
- regulatory compliance
- Platform integrity
12.2 Listing Removal
Enporto may remove Listings or Content without notice where necessary for:
- legal compliance
- intellectual property protection
- fraud prevention
- Platform integrity
12.3 Repeated Violations
Repeated violations may result in:
- permanent suspension
- termination
- restriction from future onboarding
13. Future Services and Platform Expansion
Enporto may introduce additional services including:
- logistics coordination
- warehousing
- inspections
- quality-control services
- AI-powered trade tools
- trade financing integrations
- insurance integrations
- analytics tools
- export-assistance services
Additional terms may apply to such services.
14. Limitation of Liability
To the maximum extent permitted by law, Enporto shall not be liable for:
- product defects
- shipment failures
- customs actions
- Buyer conduct
- export violations
- sanctions actions
- indirect damages
- loss of profits
- consequential losses
- trade disruptions
Enporto’s aggregate liability shall be limited in accordance with the Platform Terms of Service.
15. Seller Indemnification
Sellers agree to indemnify and hold harmless Enporto and its affiliates against claims arising from:
- defective products
- export violations
- customs penalties
- sanctions violations
- intellectual property infringement
- false certifications
- misleading listings
- Buyer claims
- tax obligations
- unlawful conduct
16. Confidentiality
Sellers agree to maintain confidentiality of:
- Buyer information
- transaction details
- RFQs
- pricing discussions
- Platform-sensitive information
Sellers shall not intentionally circumvent the Platform for opportunities introduced through Enporto for a period of six (6) months.
17. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of India.
Disputes between Sellers and Enporto shall be resolved in accordance with the dispute-resolution provisions set out in the Enporto Terms of Service.
18. Changes to this Agreement
Enporto may update this Agreement periodically. Material updates may be communicated through:
- Platform notifications
- dashboard notices
- electronic communications
Continued use of the Platform constitutes acceptance of revised terms.
